Pursuant to resolution No. 2 adopted at the 21st extraordinary Shareholders Assembly of the company POSLOVNI SISTEM MERCATOR, d.d., Dunajska cesta 107, Ljubljana, dated October 21, 2014, on the increase of the company share capital with new in-kind and cash contributions, and pursuant to Article 126 of the Financial Instruments Market Act (ZTFI), the company Mercator, d.d., hereby announces the following:

Based on the resolution by the Shareholders Assembly of the company Mercator, d.d., cited above, the share capital of the company Mercator, d.d., increased by new in-kind and cash contributions from EUR 157,128,514.53 by EUR 97,046,536.86, so that the total company share capital after the increase amounts to EUR 254,175,051.39, and it is divided into 6,090,943 ordinary freely transferable registered no-par value shares with the symbol MELR. The increase of share capital was duly entered in the court register of the District Court of Ljubljana on October 29, 2014.

Considering the fact that the company Mercator, d.d., holds 42,192 treasury shares, the total number of shares bearing voting right after the increase of share capital is 6,048,751, which represents 99.31% of the total share capital of the company Mercator, d.d.

The increase of share capital will include the issue of 2,325,582 new dematerialized ordinary registered no par value shares with the notional value of EUR 41.73, which shall be of the same class as the already issued regular ordinary registered no-par value shares of the company Mercator, d.d. 

The new shares shall be issued in dematerialized form by entry into the central register of dematerialized securities with the KDD, d.d. (Central Securities Clearing Corporation).

This announcement shall also be published as of October 30, 2014 on the company website at www.mercatorgroup.si, for a period of no less than five years.
