Telekom Slovenije, d. d. sells its 45% of shares in ONE.VIP DOO Skopje
Pursuant to the first paragraph of Article 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC, Article 136 of the Financial Instruments Market Act (ZTFI), the Ljubljana Stock Exchange Rules and valid legislation, Telekom Slovenije d .d., Cigaletova 15, Ljubljana, hereby publishes the following announcement:
On 22 October 2014, the management staffs of ONE DOOEL Skopje, which was a member of the Telekom Slovenije Group, and VIP OPERATOR DOOEL Skopje, which was a member of the Telekom Austria Group, signed an agreement to merge the two companies. On 8 July 2015, Telekom Slovenije, d. d. and Telekom Austria Group received approval from the Macedonian Competition Protection Commission for the merger of those companies. Accordingly, Telekom Slovenije, d. d. and the Telekom Austria Group established the merged company ONE.VIP DOO Skopje on 1 October 2015, when the merger was entered in Central Registry of the Republic of Macedonia. At that time, Telekom Slovenije, d. d. had 45% share and Telekom Austria Group a 55% share. The agreement also included a call and put option for Telekom Slovenije, d. d.’s withdrawal from the merged company within three years following the conclusion of the merger.
Pursuant to that agreement, Telekom Austria Group exercised its call option, consequently Telekom Slovenije, d. d. received the entire amount of consideration today in the amount of EUR 120 million for its 45% shares in ONE.VIP DOO Skopje. With the payment of that consideration, Telekom Slovenije, d. d. has withdrawn in full from the ownership structure of ONE.VIP DOO Skopje. All of the necessary procedures for entry of the change in ownership will be initiated on the day consideration is received.
The announcement will also be available on the company’s website (www.telekom.si) for a period of at least 5 years.
