Based on the provisions of the Rules of Ljubljana Stock Exchange d.d. and applicable legislation, Sava d.d. publishes the following notification:

On 26 August 2016, the 2^nd meeting of SA03 bondholders convened by Sava d.d. was held in Bled.  The Bondholders’ Meeting passed the proposed resolution:

»1. The fiduciary Abanka, d.d. shall be authorized to conclude and access to the Agreement on Establishing a Consortium for the Joint Sale of Shares as proposed by the company SAVA, d.d., on behalf of and for the account of the bondholders; in accordance with the Agreement, the lowest selling price for one share of Gorenjska banka, d.d., Kranj, with share symbol GBKR, shall not be lower than €298.00 ("Agreement").

2. The bondholders expressly agree that the costs, which under the Agreement are incurred in connection with negotiations, preparation and sale performance of shares of Gorenjska banka, d.d., Kranj, with share symbol GBKR, put as collateral for liabilities arising from the SA03 bonds, shall debit the bondholders in proportion to the percentage of shares, which each individual seller will hold in total shares being the subject of the sale pursuant to the Agreement, also if the sale of shares fails.

3. This resolution shall entirely substitute the resolution by bondholders passed at the Bondholders’ Meeting on 18 February 2016, which thus expires.«

At the Bondholders’ Meeting, 83.3% of total shares issued were represented, while the resolution was passed with 100% of total bonds represented at the Bondholders’ Meeting.

The announcement can be accessed on the official company website at www.sava.si as of the announcement date, i.e. 26 August 2016. The announcement will remain posted on the company website for at least 5 years.
