In accordance with the Ljubljana Stock Exchange Rules and the applicable legislation, ZAVAROVALNICA TRIGLAV d.d., Ljubljana, hereby publishes the following notice:

On 26 July 2017, Zavarovalnica Triglav d.d. and its subsidiary Salnal d.o.o. signed an agreement on the sale of equity stakes in Geoplin d.o.o., Ljubljana and Plinhold d.o.o. with PETROL d.d., Ljubljana and the Republic of Slovenia, represented by Slovenski državni holding d.d. in accordance with Article 19 of the Slovenian Sovereign Holding Act (ZSDH-1). The total purchase price to be received by the Triglav Group is EUR 14.5 million. The agreement was signed under suspensive conditions which must be met prior to its validity, among them is obtaining a necessary consent of the supervisory boards of the buyers and the seller. The Triglav Group is selling the stakes of these companies in compliance with its investment policy.

The Triglav Group holds a 7.8% equity stake in the abovementioned companies. The equity stake in Geoplin d.o.o., whose activity is trade, representation and intermediation on the natural gas market, is being sold to Petrol d.d. by the Triglav Group. The equity stake in Plinhold d.o.o., the operator of the gas infrastructure, the Triglav Group is selling to the Republic of Slovenia. Furthermore, Plinhold d.o.o. owns Plinovodi d.o.o., which is an independent operator of the natural gas transmission system and the owner of the entire Slovene gas transmission network.
