In accordance with the applicable law Abanka d.d. hereby announces that:

Aleasing d.o.o and Anepremičnine d.o.o. (both members of Abanka Group) together with DDM Invest VII, d.o.o. (subsidiary of DDM Holding AG, Switzerland) signed a Spin-off and Acquisition Agreement on 22 August 2017. The spin-off under the said agreement was registered by the District Court in Ljubljana, and thus perfected, on 2 October 2017.

Under the Spin-off and Acquisition Agreement, Aleasing d.o.o. as transferor demerged and transferred (i) assets comprising all real estate lease contracts with legal entities to the transferee Anepremičnine trgovanje z lastnimi nepremičninami d.o.o., Trdinova ulica 4, 1000 Ljubljana and (ii) certain other assets as listed in the said Spin-Off Agreement to the transferee DDM Invest VII, d.o.o., Trg republike 3, 1000 Ljubljana.

Completing this spin-off was one of the conditions precedent under the agreement between the seller Abanka d.d., Ljubljana and Banka Sparkasse d.d., Ljubljana as the buyer of 100% of the share capital in the company Aleasing d.o.o. singed on 18 July 2017.

This announcement will also be published on Abanka d.d.’s website as of 20 October 2017, and will be accessible for no less than five years.
