Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and valid legislation, Intereuropa, d. d. hereby publishes the following announcement:

Koper, 27 June 2019. At today’s 32nd general meeting of Intereuropa d.d., shareholders were briefed on the 2018 annual report of the Intereuropa Group and Intereuropa d.d., together with the auditor’s opinion. Official approval was conferred on the management board and supervisory board for their work in 2018, and a decision was made on the use of the distributable profit. Shareholders also appointed an official auditor for the 2019, 2020 and 2021 financial years, and appointed Jože Golobič as a new member of the supervisory board.

At today’s 32nd general meeting of Intereuropa d.d., shareholders were briefed on the 2018 annual report of the Intereuropa Group and Intereuropa d.d., together with the auditor’s opinion, and a written report from the supervisory board, which was submitted in accordance with Article 282 of the Companies Act (ZGD-1), informing the general meeting that it was approving the 2018 annual report without any qualifying comments. Shareholders also conferred official approval on the management board and supervisory board for their work in the 2018 financial year.

The general meeting appointed Ernst & Young, Revizija, poslovno svetovanje, d.o.o., Ljubljana, as the official auditor for the 2019, 2020 and 2021 financial years.

The general meeting decided on the use of the distributable profit for 2018, leaving the full amount ofEUR 4,034,131.80 undistributed.

Jože Golobič was then appointed as a new member of the supervisory board. The general meeting also passed amendments to the company’s articles of association.
