Pursuant to the Rules and Regulations of the Ljubljana Stock Exchange and Article 56 of the Takeovers Act, the company Poslovni sistem Mercator, d.d., hereby announces the following:

On June 30, 2021 the company Poslovni sistem Mercator, d.d., received the decision by the Securities Market Agency (hereinafter referred to as ATVP) with regard to the takeover bid by the Audit Committee FORTENOVA GRUPA d. d., Marijana Čaviča 1, Zagreb, Croatia, pertaining to the remaining 724,764 shares of the company Poslovni sistem Mercator, d.d., with the symbol MELR not held by the acquiring party.

The takeover bid was adopted by 154 shareholders for a total of 61,321 shares of the company Poslovni sistem Mercator, d.d., representing 1.01% of all shares of the company Poslovni sistem Mercator, d.d. The ATVP found that the takeover bid was successful as the company FORTENOVA GRUPA d.d., did not specify in the takeover bid prospectus the minimum number of shares to be acquired in order for the takeover bid to be deemed successful.

After the takeover, FORTENOVA GRUPA d.d., holds a total of 5.427.500 shares with the symbol MELR, representing 89,11% of total share capital of the company Poslovni sistem Mercator, d.d.

The decision on the outcome of the takeover bid is attached herewith.

As of July 2, 2021, this announcement will also be posted on the company website at www.mercatorgroup.si where it shall remain for a period of no less than 5 years.
