36th General Meeting of Shareholders of Intereuropa d.d.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and valid legislation, Intereuropa d.d., Koper, hereby publishes the following announcement:

At today’s 36th General Meeting of Intereuropa d.d., shareholders were briefed on the 2020 annual report of the Intereuropa Group and Intereuropa d.d., together with the auditor’s opinion. Shareholders were briefed on the written report of the Supervisory Board on the verification and approval of the annual report in accordance with Article 282 of the ZGD-1, in which the Supervisory Board notifies the General Meeting that it approved the annual report for 2020 without reservation, and sets out the Supervisory Board’s position regarding the report on relations with affiliated companies for 2020.

The General Meeting of Shareholders adopted a decision leaving distributable profit in the amount of EUR 9,987,873.36 undistributed in full. The shareholder Pan-Slovenian Shareholders’ Association announced a challenging action against the resolution on the use of distributable profit.

Shareholders then also conferred official approval on the Management Board and Supervisory Board for their work in the 2020 financial year.

At the end of the General Meeting the Chairman of the Supervisory Board Tomaž Kokot said that Pošta Slovenije Group together with Intereuropa Group are one of the largest logistics groups in Slovenia, which is ambitiously pursuing the common goal of becoming the leading provider of comprehensive logistics solutions in the wider region of South-Eastern Europe. He informed the present shareholders that due to the proximity of logistical and port infrastructure, as well as its longstanding presence there, the registered office of Intereuropa d.d. will remain in Koper, where the path of its growth and development began.

This public announcement will be published on SEOnet and on Intereuropa’s website at www.intereuropa.si for a minimum of 5 (five) years from the date of publication.
