Pursuant to the Rules and Regulations of the Ljubljana Stock Exchange, d.d, and the applicable legislation, the company Poslovni sistem Mercator d.d. hereby announces the following:

On 23 April 2021, all conditions precedent for the refinancing of the Mercator Group's debt with a loan from Fortenova grupa d.d. (“Fortenova”) signed on 16 April 2021, were fulfilled. By utilisation of the loan in the amount of EUR 385 million (whereby up to EUR 480 million can be drawn under the loan), Poslovni sistem Mercator d.d. (“Mercator”) refinanced its senior debt and used the funds for working capital financing purposes. To finance the loan to Mercator, Fortenova issued notes in the amount of EUR 385 million (buyers HPS Partners and VTB Europe).

On 23 April 2021, 4,237,376 shares of Mercator held by Agrokor d.d. (“Agrokor)”, representing 69.57% of all Mercator shares, were transferred to Fortenova as part of the refinancing of Mercator’s indebtedness and the issuance of Fortenova notes. With this, Fortenova became the majority shareholder of Mercator with a total share of 88.10% in Mercator.

As of 23 April 2021, this announcement will also be published on the company's website at www.mercatorgroup.si where it shall remain for a period of at least 5 years.
