THE SENIOR TERM AND REVOLVING FACILITIES AGREEMENT OF THE SIJ GROUP IS NOW FULLY EFFECTIVE

Notice on satisfaction of condition precedent

SIJ – Slovenska industrija jekla, d.d. (hereinafter: the Issuer) is pleased to announce that it, together with its subsidiaries and affiliates and certain key existing bank lenders have successfully closed the Senior Term and Revolving Facilities Agreement following the satisfaction of all conditions precedent.

The issuer is hereby publishing the written notice from NLB d.d. stating that the first utilisation has occurred in accordance with the Pari Passu FA (as defined in the agreed form of the Intercreditor Agreement concluded between, among others, the Issuer and the members of the Group as the Original Debtors, the lenders under the Pari Passu FA, GLAS Trust Corporation Limited as the Notes Agent and NLB d.d, as the Security Agent, published by the Issuer on the website SEOnet on 19 January 2026) (hereinafter: the Notice).

Publication of the Notice constitutes satisfaction of the condition precedent:

(i) for the effectiveness of the amendments to the terms and conditions of notes with the symbol SIJ8 (ISIN SI0032104489) (hereinafter: the Existing Notes) in accordance with the resolutions adopted by the holders of Exiting Notes upon invitation of the Issuer published on 19 January 2026, and

(ii) for the exchange of the Existing Notes for new notes with the symbol SIJ9 (hereinafter: the New Notes) to the holders of Existing Notes who accepted the Issuer’s offer published on 19 January 2026.

The New Notes will be issued on 19 March 2026 in the total nominal amount of EUR 39,800,000. The total nominal amount of the Existing Notes will be reduced to EUR 1,300,000.

As announced on 27 February 2026 this marks an important step forward for the SIJ group in strengthening its capital structure allowing management to focus on implementing the operational transformation initiatives.

The published information will also be available online at www.sij.si for a period of no less than 5 years.
