Addendum to the report of the Supervisory Board for 2019
Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and valid legislation, Intereuropa, d. d. hereby publishes the following announcement:
At its session of 27 August 2020, Intereuropa, d. d.’s Supervisory Board adopted an addendum to the report of the Supervisory Board for 2019, as stated below:
“In the report of the Supervisory Board for 2019, Intereuropa, d. d.’s Supervisory Board took a position regarding the Company’s annual report, which included a statement from Intereuropa, d. d.’s Management Board regarding relations between associated companies in which the Management Board stated that no deprivation was suffered in transactions with the parent company. The Supervisory Board had no comments regarding that statement.
The Management Board of Intereuropa, d. d. submitted a subsequent report to the Company’s Supervisory Board on relations with Group companies in 2019, with a written report on the audit of the annual report issued by the independent audit firm Ernst & Young, d. o. o. In its report, the auditor confirmed that, based on procedures conducted and evidence obtained, it did not observe anything that would lead it to doubt:
- that the statements in the report on relations between associated companies for the year ended 31 December 2019 are accurate in all material respects;
- that the value of the Company’s legal transactions stated in the report is not disproportionately high given the circumstances that were known at the time the legal transactions were executed; and
- that there are no circumstances relating to other acts stated in the report that would suggest a substantially different assessment of deprivation than the one given by the management.
The Supervisory Board has no comments regarding the auditor’s report.
In its report on relations with Group companies in the annual report for 2019, Intereuropa, d. d.’s Management Board repeated its statement, in accordance with the fifth paragraph of Article 545 of the ZGD-1, that no deprivation was suffered in relations between the parent company and its subsidiaries.
The Supervisory Board has no comments regarding the Management Board’s statement.”
