Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and the valid legislation, Telekom Slovenije, d.d., Cigaletova ulica 15, Ljubljana, hereby publishes the following notification:

The Supervisory Board of Telekom Slovenije, d.d., approved the 2024 Annual Report for the Telekom Slovenije Group and for Telekom Slovenije, d.d., at its 31st regular meeting, held on Wednesday, 16 April 2025.

The Telekom Slovenije Group performed exceedingly in 2024, surpassing its targets and significantly improving its performance, even compared to 2023. A substantial improvement in performance was achieved across all key business segments and in all target markets.

Key performance highlights:

• Net revenue reached EUR 712.4 million, which is 3% more than in 2023. The revenue increased due to growth in the number of users and higher sales of IT goods and services, while revenue from financial services, eHealth, and insurance also increased.
• Earnings before interest, taxes, depreciation and amortisation (EBITDA) at the Telekom Slovenije Group level reached EUR 240.3 million, which is 5%, i.e. EUR 11.7 million more than in 2023. The EBITDA-to-sales ratio at the Group level was 33.7%.
• Earnings before interest and taxes (EBIT) amounted to EUR 72.8 million at the Telekom Slovenje Group level, which is 14% more than last year.
• In 2024 Telekom Slovenije Group generated a net profit of EUR 55.2 million, which is 17%, i.e. EUR 8.1 million more than in 2023.
• By the end of 2024, the Telekom Slovenije Group had increased its number of mobile users by 4% compared to the previous year. It also increased the number of fixed broadband and TV connections by 4% compared to 31 December 2023.

Proposal for the use of distributable profit

The Management Board, together with the Supervisory Board, has prepared a proposal for the use of the distributable profit for 2024. The distributable profit of Telekom Slovenije, d.d., as established at 31 December 2024, amounts to EUR 58,273,004.54.

A proposal to allocate part of the 2024 distributable profit in the amount of EUR 25,994,568.00, for the dividend payments will be submitted to the company's General Meeting, scheduled for 19 June 2025. This represents a gross dividend payment of EUR 4.00 per share, excluding own shares. The remaining part of the distributable profit in the amount of EUR 32,278,436.54, would remain undistributed as retained earnings, and its use would be decided in subsequent financial years.

The proposal for using distributable profit aligns with the dividend policy objective of allocating 30-50% of the Telekom Slovenije Group’s net profit for dividend payments, taking into account the financial position and the scope of investments. The proposed dividend represents 47% of the Telekom Slovenije Group’s net profit.

In accordance with Regulation 2019/815 and the first paragraph of Article 134 of ZTFI-1, the official version of the Telekom Slovenije Group's Annual Report is prepared in the ESEF format and will be published by the company in a separate announcement.

The company has also prepared an unofficial PDF version of the audited Annual Report for 2024, which is available on the company's website in the About Us / Investor Relations section.

In Chapter 5 of the Telekom Slovenije Group and Telekom Slovenije, d.d.'s Annual Report for 2024, Telekom Slovenije also publishes its Corporate Governance Statement.
