Negotiations about the transfer against remuneration of the services of international package distribution under the UPS brand to a new company of the UPS group of companies in the Republic of Slovenia

Pursuant to the provisions of the Ljubljanska borza d.d. Rules and applicable laws the company INTEREUROPA d.d. publishes the following notice:

The management board of the company INTEREUROPA, Globalni logistični servis, delniška družba, informs the public that the company UPS EUROPE S.A., having its registered seat in Belgium, is incorporating its subsidiary in the Republic of Slovenia, i.e. the company named UPS ADRIA (S) Ekspres d.o.o. and, within the context of the UPS global policy which also includes establishment of UPS own business network in all EU Member States, UPS EUROPE S.A. expressed its intention to secure all conditions for this new company to contractually take over the services of international package distribution under the UPS brand from the company INTEREUROPA d.d., against payment of remuneration. Should such takeover of previously mentioned services take place, the remuneration agreement will govern all issues related to such transfer, in particular the transfer of assets of INTEREUROPA UPS Branch, which the latter uses in order to provide these services, and transfer of contracts as well as transfer of all employees in the previously mentioned branch to the new UPS company in the Republic of Slovenia.

The company INTEREUROPA d.d. is negotiating with the representatives of the UPS group on the terms and conditions and timing of the transfer of a part of its undertaking (the part of the undertaking within the UPS Branch), on the contents of the remuneration agreement and on the possibilities of further business co-operation. Negotiations are expected to come to an end and a decision on entering into a contract between the company INTEREUROPA d.d. and the company UPS ADRIA (S) Ekspres d.o.o. is foreseen for April 2009.

The notice to the public will be accessible on the web site of INTEREUROPA d.d. at the address www.intereuropa.si for at least 5 years following the publication.
