Pursuant to relevant legislation, the company Poslovni sistem Mercator, d.d., hereby informs the shareholders and the public of the following:


Since 1997, the company Poslovni sistem Mercator, d.d., has actively encouraged its shareholders to exercise their rights by organized collection of proxy authorizations, based on which they can exercise their voting rights without attending the Shareholders Assembly, thus directly contributing to company’s governance.

Consistent with the recommendations of the Slovenian Corporate Governance Code, Poslovni sistem Mercator, d.d., hereby informs its shareholders that, based on the agreement with VZMD (PanSlovenian Shareholders' Association) dated June 23rd 2010, and based on the agreement with Društvo MDS (Small Shareholders' Association) dated June 23rd 2010, the organized collection of shareholder proxy authorizations for the 16th Regular Shareholders Assembly, which is to take place on July 13th 2010, has started. The contract stipulates that Mercator, d.d., VZMD and Društvo MDS each will select proxies, which are to be authorized by the shareholders for exercising their voting rights.

The company Poslovni sistem Mercator, d.d., at the initiative from VZMD, announced the Shareholders’ Assembly convocation and authorization on the Eurovote system for the first time. The Eurovote system is intended to support a more active cross-border engagement of small shareholders. By that, Mercator’s aim is to increase the visibility of its shares internationally as well. As at 18th June 2010, the share of foreign investors in the company Poslovni Sistem Mercator, d.d. amounted to 13.5 percent.


This announcement will be published on the company’s website at www.mercator.si as of June 24th 2010, and will remain posted for a period of at least five years.
