On the basis of the provisions of the Ljubljana Stock Exchange Rules and the valid legislation, the company ISTRABENZ, d.d. (Plc.), Koper is publishing the following announcement:

Istrabenz Holding Company d.d. hereby informs the interested public that based on the provisions of the Sale and Transfer Agreement related to the participating interest held in Istrabenz Gorenje, d.o.o., which was executed on 27 July 2011 by and between the company Istrabenz, d.d., and the company Petrol d.d., Ljubljana, today, on 7 December 2011 the transfer of the participating interest in the company IG energetski sistemi, d.o.o. (previously named Istrabenz Gorenje energetski sistemi, energetske storitve, d.o.o.) was accomplished and the entire purchase price in the amount of EUR 8.4m was settled today by the company Petrol, d.d. Ljubljana in its capacity as Buyer to the company Istrabenz, d.d. acting as Seller. Simultaneously, the Buyer took over all Seller’s guarantees for the liabilities of the company IG energetski sistemi, d.o.o. and of other companies pertaining to the IG energetski sistemi group.

Istrabenz, d.d. sold its participating interest in the company IG energetski sistemi, d.o.o. in line with its activities related to the implementation of its financial restructuring plan.  

This announcement will be published also on the Company's website www.istrabenz.si as of December 7^th 2011, and will remain posted for a period of at least five years.
