Pursuant to the Rules and Regulations of the Ljubljana Stock Exchange, d.d, the relevant legislation, the company Poslovni sistem Mercator, d.d., hereby informs the shareholders and the public of the following:


The company Poslovni sistem Mercator, d.d., Ljubljana, signed on 30 December 2011 a strategic combination agreements according to which the company Poslovni sistem Mercator, d.d., will become, subject to fulfilling all terms and conditions agreed, the owner of 100-percent shareholding in the company Vesna, Trgovsko podjetje, d.d., Ljutomer.

With this transaction, the company Poslovni sistem Mercator, d.d., will acquire seven trade facilities in northeastern Slovenia, which are organised as a franchise units of Mercator.

The independent financial advisor fairness opinion from the viewpoint of the company Poslovni sistem Mercator, d.d., and its shareholders is attached to this public announcement.


This announcement will be published on the company’s website at www.mercator.si as of 4 January 2012, and will remain posted for a period of at least five years.
