Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and the valid legislation, Telekom Slovenije, d.d., Cigaletova 15, Ljubljana, hereby publishes the following notification:

On 28 March 2022 Telekom Slovenije, d.d., concluded an agreement acting as a purchaser with DBA informacijske tehnologije, d.o.o., and DBA Group S.p.A. actions as the sellers on the purchase of 2,040,275 shares of ACTUAL I.T., informacijske tehnologije, d.d., (hereinafter: ACTUAL), which represents a 100% share in the company (hereinafter: the Agreement).

The Agreement was concluded under several suspensive conditions that would have to have been met before the transaction would be completed. When the Agreement was concluded, it was laid down that the suspensive conditions are to be fulfilled within six months, i.e., by 28 September 2022, and later that deadline was extended by two months, i.e., until 27 November 2022, in accordance with the provisions of the Agreement. Since on 27 November 2022 not all suspensive conditions were met, as Telekom Slovenije, d.d., was not able to obtain a decision from the Slovenian Competition Protection Agency regarding the compliance of planned concentration with competitions rules, the Agreement automatically untied and ceased to apply as of the deadline.

At its 7th regular meeting on 28 November 2022, the Telekom Slovenije Supervisory Board was informed of this.
