(together the "Notes")

issued by

NOVA KREDITNA BANKA MARIBOR d.d.

(the "Issuer")

On 22 August 2024, a merger between the Issuer and SKB banka d.d. Ljubljana ("SKB") became legally effective. SKB as the transferring company ceased to exist and the Issuer as the acquiring company became the universal legal successor of SKB (the "Merger").

Following the completion of the Merger, the legal name and registered office of the Issuer was changed with effect from 23 August 2024 to:

The integration with SKB, the Merger and the change in legal name were implemented following the acquisition of the Issuer by OTP Bank Nyrt. (Hungary) in 2023. SKB had been a member of the OTP group since 2019. The goal of the Merger is to create a leading bank in Slovenia. It is not necessary for holders of the Notes to take any steps or actions in order to continue to receive payments of interest and principal in accordance with the terms and conditions of the Notes.
