Audited annual report for 2024

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and applicable legislation, CINKARNA Celje, d. d., Kidričeva ulica 26, 3000 Celje, hereby publishes the audited business results of the company for the year 2024.

In 2024, our sales increased by 13%, primarily due to higher quantities of titanium dioxide pigment sold. Demand notably improved in the second quarter, mainly as a result of the anticipated introduction of temporary anti-dumping measures, which encouraged European customers to adjust their purchasing strategies. At the beginning of 2025, these temporary measures were replaced with permanent customs duties expressed in absolute amounts, with the pigment type used in printing inks being excluded from the scope of these measures. The full impact of these changes on market conditions is expected to become more evident in the coming quarters.

Net profit amounted to EUR 23.1 million, representing an 82% increase compared to 2023 (EUR 12.7 million). EBITDA reached EUR 39.6 million, accounting for 19.8% of sales revenue, which is a 58% increase year-on-year.

Despite tightened global trade conditions, we continue to operate as a reliable and predictable supplier. Although we are not directly exposed to the U.S. market, changes in trade policies may affect broader market dynamics. We are actively monitoring the situation and maintaining flexibility in our commercial strategy. Due to the current uncertainty regarding the final impact, a reliable assessment is not possible at this time; however, we do not anticipate any material negative effects.

In line with our commitments to sustainable development, the audited report also includes a Sustainability Statement, in which we present – for the first time in a comprehensive manner – the company’s environmental, social and governance (ESG) aspects, key risks, policies, and objectives.

CINKARNA Celje, d. d. received an audit opinion on the financial statements for the financial year 2024, which include the statement of financial position as of 31 December 2024, the income statement, the statement of comprehensive income, the statement of changes in equity, and the cash flow statement, together with notes to the financial statements, including significant accounting policy disclosures.

The financial statements present fairly, in all material respects, the financial position of CINKARNA Celje, d. d. as of 31 December 2024, as well as its financial performance and cash flows for the year then ended, in accordance with International Financial Reporting Standards as adopted by the EU.

The auditors also performed a limited assurance engagement on the Sustainability Statement of CINKARNA Celje, d. d., included in the chapter Sustainability Statement of the Business Report as at 31 December 2024 and for the year then ended. Based on the procedures performed and evidence obtained, nothing has come to their attention that would cause them to believe that the Sustainability Statement is not, in all material respects, prepared in accordance with Articles 70.c and 70.č of the Companies Act (ZGD-1), which transpose Articles 19a and 29a of Directive 2013/34/EU into Slovenian law.

This announcement will be published on the company’s website www.cinkarna.si as of 16 April 2025, and will remain available for a minimum period of 10 years.
