In light of recent media reports concerning proceedings in Romania involving the Managing Director of GEN-I Sonce, d.o.o., we would like to provide you directly with the information currently available to us and outline the measures taken to ensure stable and uninterrupted business operations.

Based on the information available to us, the matter relates to an individual and a specific battery storage project developed by the project company of GEN-I Sonce. Neither GEN-I Sonce, d.o.o., the project company R-Energy 8 Gheorgheni, nor any other company within the GEN-I Group is currently the subject of criminal, regulatory or other official proceedings in connection with this matter. To date, no company within the Group has received any notification or request from the competent Romanian or Slovenian authorities.

The information available to us remains limited to publicly accessible sources. Based on the information currently at our disposal, we are not aware of any arrangement relevant to the reported allegations to which a GEN-I Group company is a party, nor have any related payments been channelled through companies of the Group.

As mentioned, the matter is strictly limited to the specific battery storage project in Romania and is unrelated to all other GEN-I Group’s activities or the operations of other companies of GEN-I Group, including GEN-I Sonce, d.o.o., and its affiliated companies and GEN-I Invest, d.o.o. All business areas of the Group continue to operate normally and in accordance with their business plans and strategic objectives. All business, contractual and financial obligations continue to be met in full and on time.

Pending clarification of the circumstances, the Management Board has established an interim management structure for GEN-I Sonce, d.o.o., ensuring continuity of leadership and uninterrupted operations. All key business processes remain operational.

In parallel, an independent external legal and accounting review of selected transactions, projects and business activities within the GEN-I Group and the GEN-I Sonce Group is underway. The review is being conducted in phases and is intended to provide an objective assessment of the relevant transactions. Any further decisions or measures will be based on verified findings.

The GEN-I Group applies the highest standards of integrity, compliance and responsible corporate governance and maintains zero tolerance for unlawful or unethical conduct. We will cooperate fully with the competent authorities should this be required.
